An authorized signature circular is a notarized document showing the persons authorized to represent a company and the limits of their authority. It is among the first documents requested for company incorporation, tender participation and banking transactions abroad.
The type and limits of authority — whether signatures must be individual or joint and whether there is a monetary limit — are translated in full. This information directly determines whether the other party can carry out a transaction.
Which institutions request this document?
- Foreign trade registry directorates — for establishing branches and companies
- Banks — for opening corporate accounts
- Tendering authorities
- Notaries and counterpart companies
Certification requirements
An authorized signature circular is drawn up by a notary; its translation is also required to be notarized for use abroad. Since 2018, signature declarations have largely replaced signature circulars in company registration procedures, and this document can also be obtained from the trade registry directorate.
As it is a notarized document, the apostille is obtained from a provincial or district governor's office.
There is no universal rule. The institution requesting the document determines its certification requirements. The information above describes common practice. Tell us which institution you are applying to and we will help clarify the required certification.
Preparing your document
- Make sure the circular is current; it must be renewed if authorization has changed
- Send all pages and the notarial certification
- Provide the authorized persons' names as spelled in their passports
- Preparing it together with the trade registry gazette helps ensure a complete file
Frequently asked questions
How long is a signature circular valid?
It remains valid as long as the authorization does not change; however, institutions generally require a copy issued within the last year.
How are the limits of authority shown in the translation?
Individual or joint signing authority and any monetary limit are conveyed using the wording of the source document; no interpretation is added.
